3. User Obligations and Responsibilities
You agree to use the Services responsibly and in compliance with these Terms, all applicable laws, and any reasonable instructions provided by BellaLingua Canada Inc. or its instructors.

We may suspend or terminate access to the Services if you materially breach these Terms, engage in abusive or inappropriate behavior, or create a safety, legal, or operational risk.
4. Payment Terms and Conditions
Fees for the Services will be disclosed at the time of purchase, registration, quotation, or enrollment. Unless otherwise stated, all fees are payable in Canadian dollars (CAD).
By purchasing Services, you agree to pay all fees, taxes, and other charges applicable to your order. You are responsible for any bank charges, currency conversion fees, chargeback fees, or payment processing fees imposed by your financial institution or payment provider.
Payment may be required in advance, at the time of booking, or according to a payment plan agreed to in writing. Where installment plans are offered, failure to make a timely payment may result in suspension of access to the Services, removal from a class, or cancellation of enrollment.
Unless required by applicable law, fees are non-transferable and may not be shared between students or applied to another person or program without our prior written consent.
We reserve the right to correct pricing errors and to refuse or cancel any order where a pricing or availability error has occurred, subject to applicable consumer protection laws.
5. Cancellation and Refund Policy
Because our Services involve scheduling, preparation, and capacity planning, cancellations and refunds are subject to the terms below, unless a different written policy is provided for a specific program and is required or permitted by law.
- Group classes and workshops: Missed sessions are generally non-refundable and non-creditable unless otherwise stated in writing. If you cancel before the program start date, any refund eligibility will be determined based on the notice period and administrative costs incurred.
- Private lessons: Cancellations or rescheduling requests must be made within a reasonable notice period communicated by us, typically at least 24 hours in advance. Late cancellations or no-shows may be charged in full.
- Online courses and digital materials: Once access is granted to digital content or course materials, refunds may be limited or unavailable to the extent permitted by applicable law.
- Business training or customized programs: Deposits and customization fees may be non-refundable once planning or development work has commenced.
All refund requests must be submitted in writing to [email protected]. Approved refunds, if any, will be issued to the original payment method within a reasonable time. Any refunds will be made in accordance with applicable Canadian consumer protection laws, including provincial consumer protection legislation where applicable.
If we cancel a scheduled Service and do not offer a reasonable rescheduling option, you may be entitled to a refund or credit for the affected portion of the Services, subject to applicable law and any specific program terms.
Nothing in these Terms limits any non-waivable rights you may have under applicable law.
6. Liability Limitations
To the fullest extent permitted by applicable law, BellaLingua Canada Inc., its directors, officers, employees, contractors, instructors, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the Services, including loss of profits, loss of data, loss of business opportunities, or interruption of use.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Services will not exceed the amount you paid to BellaLingua Canada Inc. for the specific Service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or such other amount as may be required by applicable law.
We do not warrant that the Services will be uninterrupted, error-free, or suitable for any particular purpose. Educational results may vary based on attendance, engagement, prior knowledge, and personal effort.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is prohibited by law.
7. Intellectual Property Rights
All materials, content, lesson plans, exercises, recordings, handouts, presentations, graphics, logos, trademarks, course structures, methodologies, and other intellectual property provided by or on behalf of BellaLingua Canada Inc. are owned by or licensed to BellaLingua Canada Inc. and are protected by applicable intellectual property laws in Canada and elsewhere.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the materials solely for your personal educational use or, where applicable, internal authorized business use.
You may not, without our prior written consent:

By using the Services, you consent to our collection, use, and disclosure of personal information as described in these Terms and any separate privacy notice we may provide. You may contact us to request access to or correction of your personal information, subject to lawful exceptions.
If you are located outside Canada, your information may be transferred to and processed in Canada or other jurisdictions where our service providers operate.
9. Force Majeure
BellaLingua Canada Inc. will not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from events beyond our reasonable control, including but not limited to acts of God, fire, flood, severe weather, pandemic, epidemic, labour disputes, governmental actions, power outages, cyber incidents, telecommunications failures, platform outages, or other similar events.
In such circumstances, we may suspend, reschedule, modify, or cancel Services as reasonably necessary. Where feasible, we will provide notice and, at our discretion or as required by law, a rescheduling option, credit, or refund for any affected portion of the Services.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our Services, business practices, or legal obligations. The revised Terms will be posted or otherwise communicated to you, and the “Effective Date” will be updated accordingly.
Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
11. Applicable Law and Jurisdiction
These Terms and any dispute arising out of or relating to them, the Services, or any relationship between you and BellaLingua Canada Inc. will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
You agree that, subject to any mandatory applicable consumer protection laws, the courts located in Toronto, Ontario shall have exclusive jurisdiction over any claim, dispute, or proceeding arising out of or relating to these Terms or the Services.
If you are a consumer residing in a jurisdiction that provides you with non-waivable venue or forum rights, nothing in this section limits those rights to the extent they cannot lawfully be waived.
